Liquidating a Civil Company in the UAE: Managers and Liquidators

The new Civil Transactions Law updates civil-company liquidation, including the effect of dissolution on managers’ authority and the appointment and functions of the liquidator. Dissolution does not erase the company’s debts.

Prepare an inventory of assets, debts, security, open contracts, disputes and accounts. Verify the dissolution and liquidator’s appointment, the authority to sign and any required notification or registration.

Distinguish preservation of assets from new business that may exceed post-dissolution authority. Creditors’ rights and the statutory settlement process must be addressed before distributing any surplus to partners.

Federal Decree-Law No. 25 of 2025 entered into force on 1 June 2026. Check the dates, applicable special legislation and temporal rules for the particular case.
