The new Civil Transactions Law regulates assignment of rights. Distinguish the agreement between the original creditor and assignee from its effectiveness against the debtor and third parties.
Review the underlying agreement, assignment documents, outstanding balance, payments, security and any legal or contractual restriction. Preserve evidence of notification or acceptance where required and examine available debtor defences.
A change of creditor does not by itself eliminate the debtor’s defences. A debtor receiving a payment demand from a different person should verify the assignment and the proper recipient before paying.
Federal Decree-Law No. 25 of 2025 entered into force on 1 June 2026. Check the dates, applicable special legislation and temporal rules for the particular case.
